Opportunity Overview

RNB Properties is seeking to appoint a registered firm or individual consultant to serve as Corporate Secretary to the Board of Directors. The selected consultant will support the Board and Executive Management with corporate governance, regulatory compliance, and secretarial services.

  • Promote compliance and good governance within RNB Properties
  • Provide accurate, timely secretarial support to the Board
  • Offer strategic advice on regulatory and compliance issues
  • Maintain high standards in corporate reporting and board governance

Scope of Work and Focus Areas

  • Advise the Board on Governance, Risk, and Compliance Management
  • Ensure company compliance with relevant Codes of Corporate Governance
  • Support Board Committees and Sub-Committees
  • Organize and minute Annual General Meetings and Board meetings
  • Prepare and submit reports to shareholders and other regulatory bodies
  • Ensure compliance with MSM listing requirements
  • Maintain records and manage document filing
  • Represent the company in all interactions with MSM and regulatory authorities

Required Qualifications

  • Chartered Accountant, LLB, or a relevant professional qualification
  • Minimum of 4 years’ experience in a similar corporate governance or secretarial role
  • Professional certification will be an added advantage
  • Sound knowledge of MSM listing requirements and regulatory reporting

Terms of Service

  • Consultancy contract for 1 year, with the possibility of renewal based on performance
